Confidentiality Agreement for Safeo24
This Confidentiality Agreement (“Agreement”) is established by Sarvang Infotech India Limited (“Company”), the owner and operator of Safeo24 (“App”), to define the obligations and responsibilities regarding the protection of sensitive and confidential information accessed or processed by its users, employees, contractors, and third parties (“Parties”).
By accessing or using Safeo24 or engaging with its services, all Parties agree to comply with the terms set forth below to safeguard confidential information and ensure the integrity of operations.
1. Definitions
- 1.1. Confidential Information
Includes but is not limited to:
- User data such as personal information, location data, and emergency contact details.
- Proprietary information such as source code, algorithms, designs, and technical documentation.
- Non-public financial, operational, and strategic business data.
- Any other information marked as confidential or understood to be confidential by its nature.
- 1.2. Authorized Access
Refers to access granted to personnel or third parties who require such access for legitimate purposes related to the operation, development, or maintenance of the App.
2. Obligations of the Parties

2.1. Company’s Responsibilities
- Ensure all Confidential Information is securely stored using encryption and access controls.
- Limit access to Confidential Information strictly to authorized personnel and entities.
- Conduct regular audits and security assessments to identify and mitigate risks to confidentiality.
- 2.2. User Responsibilities
- Users must protect their account credentials and report any unauthorized access immediately.
- Users are prohibited from sharing Confidential Information obtained through the App with unauthorized third parties.
- 2.3. Misuse of Referral Systems
- Exploiting referral features to send unsolicited invitations.
- Creating fake accounts to manipulate referral rewards.

2.3. Third-Party Responsibilities
- Third parties engaged for services such as cloud hosting, SMS gateways, or analytics must enter into legally binding agreements to ensure Confidential Information is protected.
- Third parties are required to adhere to data protection laws and industry best practices.
3. Permitted Use

3.1. Purpose Limitation
Confidential Information may only be used for the purposes of providing, improving, or maintaining Safeo24’s functionalities and ensuring user safety.

3.2. Prohibited Use
Parties are strictly prohibited from:
- Using Confidential Information for personal or commercial gain.
- Sharing or disclosing Confidential Information to unauthorized individuals or entities.
- Reverse-engineering, replicating, or exploiting the App’s proprietary technology.
4. Safeguards and Security Measures

4.1. Physical Security
- Access to data servers is restricted to authorized personnel using biometric authentication or equivalent methods.

- All digital Confidential Information is protected using encryption standards such as AES-256 and SSL/TLS for data in transit and at rest.
- Role-based access control (RBAC) ensures that personnel can access only the data necessary for their responsibilities.

4.3. Monitoring and Audits:
- Real-time monitoring systems detect and log unauthorized access attempts.
- Annual audits of systems and processes ensure compliance with this Agreement.
5. Disclosure and Exceptions

5.1. Permitted Disclosures
Confidential Information may be disclosed only:
- To comply with legal or regulatory obligations, provided that prior notice is given to the affected parties where legally permissible.
- To authorized third-party service providers under binding confidentiality agreements.

5.2. Non-Disclosure Exceptions
Confidential Information does not include information that:
- Is publicly available through no breach of this Agreement.
- Was independently developed without access to the Company’s proprietary data.
- Is disclosed with prior written consent from the Company.
6. Breach and Remedies

6.1. Reporting Breaches
Any suspected or actual breach of confidentiality must be reported immediately to the Company’s Data Protection Officer (DPO).

The Company will promptly investigate all reported breaches and take appropriate action, including but not limited to:
- Suspending or terminating access privileges.
- Implementing additional security measures.
- Notifying affected users and regulatory authorities where required.

6.3. Legal Remedies
- Parties in violation of this Agreement may face legal action, including claims for damages and injunctive relief.
- Unauthorized access, misuse, or disclosure of Confidential Information will be prosecuted under applicable laws.

7. Term and Termination

7.1. Term:
This Agreement remains in effect for as long as the Parties have access to Confidential Information.

7.2. Post-Termination Obligations
Upon termination of access or engagement:
- All Confidential Information must be returned to the Company or securely deleted.
- Parties must certify in writing that no copies of Confidential Information have been retained.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from or related to this Agreement shall be subject to arbitration under the Indian Arbitration and Conciliation Act, 1996, with proceedings conducted in Raipur, Chhattisgarh, in English.
9. Amendments
The Company reserves the right to amend this Agreement to reflect changes in technology, legal requirements, or business operations. Users will be notified of significant updates via email or in-app notifications.
